Welcome to Louisville Web Guy. These Terms of Service ("Terms") govern your use of our website design and hosting services. By engaging our services, you agree to be bound by these Terms.

1. Services Overview

Louisville Web Guy provides website design, development, and hosting services for small businesses. Our standard service includes:

• Custom website design and development
• Mobile-responsive design
• Website hosting and maintenance
• SSL certificate (security)
• Basic search engine optimization (SEO)
• Ongoing support and updates

2. Pricing and Payment

Build Fee: The initial website build fee is due as follows:

• 50% deposit due before work begins
• 50% balance due upon website completion, before going live

Monthly Hosting: Monthly hosting fees are billed on the first of each month. The first month is prorated based on your launch date.

Payment Methods: We accept credit cards, debit cards, ACH bank transfers, and checks.

Late Payments: Invoices not paid within 15 days of the due date may result in website suspension until payment is received.

3. Project Timeline and Process

Our typical website build process:

• Kickoff: Initial consultation and content gathering
• Design: We create your custom website design
• Review: You review and request revisions (up to 2 rounds included)
• Launch: Final approval and website goes live

Most websites are completed within 2-3 weeks, depending on client responsiveness in providing content and feedback.

4. Client Responsibilities

To ensure timely project completion, you agree to:

• Provide all necessary content (text, images, logos) in a timely manner
• Respond to requests for feedback within 5 business days
• Provide accurate business information
• Review and approve the website before launch
• Maintain current payment information for monthly billing

Projects delayed more than 30 days due to client non-responsiveness may be subject to a restart fee.

5. Revisions and Changes

During Build: Your build fee includes up to 2 rounds of revisions during the initial design phase.

After Launch: Minor content updates (text changes, image swaps, contact info updates) are included in your monthly hosting fee. Major changes (new pages, redesigns, added functionality) may incur additional fees, quoted in advance.

6. Intellectual Property

Your Content: You retain ownership of all content you provide (text, images, logos, etc.). You represent that you have the right to use all content provided.

Website Design: Upon full payment, you own your custom website design and content. We retain the right to display the website in our portfolio unless you request otherwise in writing.

Third-Party Assets: Stock photos, fonts, and other third-party assets used in your website are subject to their respective licenses. We only use assets that permit commercial use.

Code and Framework: We may use proprietary templates, frameworks, and code libraries that remain our intellectual property. You receive a perpetual license to use these as part of your hosted website.

7. Hosting and Maintenance

Your monthly hosting fee includes:

• Secure, reliable website hosting
• SSL certificate maintenance
• Regular backups
• Security monitoring and updates
• Minor content updates
• Technical support via phone, email, or text

We target 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance when possible.

8. Domain Names

Domain registration is handled separately from our services. You are responsible for:

• Purchasing and renewing your domain name
• Providing us access to update DNS settings
• Maintaining accurate domain registration information

We can assist with domain setup and provide guidance on domain registration at no additional charge.

9. Termination

By You: You may cancel hosting services at any time with 30 days written notice. No refunds are provided for partial months or unused build fees.

By Us: We reserve the right to terminate services for:

• Non-payment (after 30 days past due)
• Violation of these Terms
• Use of the website for illegal or harmful purposes
• Abusive behavior toward our staff

After Termination: Upon termination, we will provide you with a copy of your website files upon request. We are not obligated to maintain or host your website after termination.

10. Website Transfer

If you wish to transfer your website to another hosting provider:

• All outstanding invoices must be paid in full
• We will provide website files in a standard format
• A transfer assistance fee of $150 may apply for expedited transfers or technical assistance
• We are not responsible for website functionality after transfer to another provider

11. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability for any claim related to our services shall not exceed the total fees paid by you in the 12 months preceding the claim
• We are not liable for indirect, incidental, special, or consequential damages
• We are not liable for lost profits, lost data, or business interruption
• We are not liable for any third-party claims against you

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

12. Disclaimer of Warranties

Our services are provided "as is" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee that our services will:

• Generate any specific amount of traffic, leads, or sales
• Achieve any particular search engine ranking
• Be error-free or uninterrupted
• Meet all of your requirements or expectations

13. Indemnification

You agree to indemnify and hold harmless Louisville Web Guy from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:

• Your use of our services
• Content you provide for the website
• Your violation of these Terms
• Your violation of any third-party rights

14. Acceptable Use

You agree not to use our services for websites that:

• Contain illegal content or promote illegal activities
• Infringe on intellectual property rights
• Contain malware, viruses, or harmful code
• Engage in spam, phishing, or fraudulent activities
• Contain hate speech or content promoting violence
• Violate any applicable laws or regulations

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Jefferson County, Kentucky.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to this page. Your continued use of our services after changes constitutes acceptance of the modified Terms. We will make reasonable efforts to notify active clients of significant changes.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms, together with any written service agreement or quote you have signed, constitute the entire agreement between you and Louisville Web Guy regarding our services. In case of conflict, a signed service agreement takes precedence over these Terms.
